License Agreement: Integer

Definitions

The following definitions apply to the terms as they appear in this agreement:
  • Athena means Athena Design, Inc., a Massachusetts Corporation.
  • Agreement refers to this license agreement.
  • Software means the specified version of the computer program identified in the above title of the Agreement or with which the Agreement is included, its associated files, and all updates to the computer program as supplied by Athena or its authorized representatives by any means. The term also includes all copies of any part of the computer program.
  • Documentation means the user’s manual(s), API and programming reference and all other printed or electronic materials accompanying the Software or available directly or indirectly from Athena describing functionality of the Software.
  • Class Libraries means the complete and unaltered integer.jar file.
  • License File means the unique identifier of the user as encoded in the Software or accompanying the Software.  This is the integer.license file that is included in the Class Libraries or delivered separately.
  • Product means the Software, Documentation, Class Libraries, and/or License File.
  • Use means loading the Product into RAM or copying it on a hard disk or other storage device or making available or downloading it from any web server.
  • User means anyone who obtains or Uses the Product.
  • You or Your means anyone who obtains or Uses this Product.
  • License means this Athena Design, Inc. Integer License Agreement.

Copyright/Proprietary Protection

This Product is owned by Athena and is protected by United States and international copyright laws and international treaty provisions and other intellectual properties laws. Athena retains all intellectual property rights in and to the Product except those rights explicitly granted to You herein. You must treat the Product like any other copyrighted material, except to the extent that this license provides to the contrary. Your right to use the Product terminates automatically if You breach any term of this Agreement. In the event of termination, you must immediately destroy all copies of the Product including copies on backup or return them to Athena.

Grant of Nontransferable License

Athena grants You one nonexclusive, nontransferable License to Use the according to the terms set forth in this Agreement. This License is granted only to the original party acquiring the product. Athena reserves all rights not expressly granted to You. This License determines Your rights with respect to the Software. You may:
  • Install one binary copies of Product.
  • Make periodic backups of Product.
  • Write computer programs that make use of Product and Product’s features as described in Documentation.
  • Place Class Libraries on an internal or public web server owned by You or Your company or organization such that unaltered copies Class Libraries will be loaded via an ARCHIVE tag or similar mechanism in conjunction with the use of a program that you develop which uses Class Libraries.  You shall not make Class Libraries available except via a mechanism that makes Class Libraries available to load into a browser or application launched from the licensed server.  In no case shall Product remain resident on such machines except if Product is stored in the computer's cache.
  • Use Product in accordance with the license terms encoded in your copy of Product.
Other than the rights described above, you may not copy, duplicate, or distribute Product or Class Libraries in any form.

Specific License Restrictions

In addition to any other rights retained by Athena, You may not:
  • Translate the Product.
  • Create derivative works of Product.
  • Merge the Software with another program or modify the Product, except as may be specifically described in the Documentation. Any modifications to the Product are subject to this License.
  • Reverse-engineer, disassemble, decompile, or make any attempt to discover the source code of the Software or License File, private keys, or any information enclosed within the Product.  This includes but is not limited to using Mocha or other Java decompilation tools, use of javap to discover variables or interfaces not described in Documentation, and any other methods of discovering the source code or other human readable description of Product.

Limited Warranty

Athena represents and warrants that for a period of 90 days from your receipt of the Product, it will perform substantially in accordance with the Documentation. Any written or oral information or advice given by Athena dealers, distributors, agents, or employees will in no way increase the scope of this warranty.

If the Product fails to comply with the warranty set forth above, Athena's entire liability and your exclusive remedy will be repair defective Product, at Athena's option, Athena's reasonable effort to make the Product meet the warranty set forth above; provided, that if Athena is unable to make the Product meet such a warranty within a reasonable time, Athena may, at its sole option, refund the purchase price you paid for the Product. This limited warranty applies only if you return all copies of the Product, along with a copy of your paid invoice, to the place of purchase within 90 days of the date of invoice. Product must be in its original condition complete with all packaging material and manuals. Any replacement Product will be warranted for the remainder of the original 90-day warranty period or for 30 days from the date you received the replacement, whichever is longer. These remedies are not available outside of the United States and Canada.

EXCEPT FOR THE WARRANTIES SET FORTH ABOVE, THE PRODUCT IS LICENSED AS IS, AND ATHENA DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, ANYFITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT WITH RESPECT TO THE PRODUCT. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU. THIS LIMITED LIABILITY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHERS, WHICH VARY FROM STATE TO STATE.

No Liability for Consequential Damages

Athena's cumulative liability to you or any other party for any loss or damages resulting from any claims, demands, or actions arising out of or relating to this License shall not exceed the purchase price of the Product. In no event shall Athena or its suppliers be liable for any indirect, incidental, consequential, special, or exemplary damages or lost profits damages whatsoever (including, without limitation, damages for business interruption, loss of information, or other pecuniary loss) arising out of the use of or inability to use the Product, even if Athena has been advised of the possibility of such damages. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. The foregoing limitations of warranty and liability inure to the benefit of Athena's licensors having an interest in the Product.

Liquidated Damages in case of Material Breach

Athena has encoded the license terms for your use of Product into Product. This is the method by which Athena controls the right to use the Software in its full feature mode, and is compensated for its work in developing the Product. You agree not to attempt to discover the method used to encode the license terms. You agree that if you discover the method used to encode the license terms, that you will not create new or altered license terms. If you change the license terms, generate new license terms, or distribute Product or any part of Part in violation of this agreement, you agree to pay Athena liquidated damages of $10,000 per person who has accesses to the altered license or improperly distributed Product (i.e., not only the person to whom you disclosed them, but also anyone to whom the new or altered license was passed to), plus all investigative fees and expenses incurred by Athena in determining the extent of unauthorized use and all attorneys’ fees incurred by Athena in enforcing its rights.

General

This Agreement constitutes the entire agreement between You and Athena concerning the Product. Athena hereby objects to all other prior and contemporaneous provisions of any purchase order, receipt, acceptance, confirmation or correspondence. You understand that this License shall be construed and governed in accordance with the laws of the Commonwealth of Massachusetts and you agree to submit to the jurisdiction of all courts in the Commonwealth of Massachusetts.
You understand that Use of the Product constitutes Your acceptance of Agreement.

Trademark

Integer is a trademark of Athena. No right, license, or interest to such trademark is granted hereunder, and you agree that you shall assert no such right, license, or interest with respect to such trademark.  You may indicate that Your program was written using Integer as long as such indication includes a reference to http://www.athena.com.

U.S. Government Restricted Rights

If you are acquiring the Product on behalf of any unit or agency of the U.S. Government, the following shall apply: The Government acknowledges Athena's representation that the Product was developed at private expense and no part of them is in the public domain. (a) For units of the Department of Defense: Restricted Rights Legend: Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data Clause at DFARS 252.227-7013. (b) For civilian agencies: Restricted Rights Legend: Use, reproduction, or disclosure is subject to the restrictions set forth in subparagraphs (a) through (d) of the Commercial Software - Restricted Rights clause at FAR 52.227-19 and the limitations set forth in Athena's standard commercial agreement for the Software. Contractor/manufacturer is Athena Design, Inc.
